CORPORATE ADMINISTRATION

  1. Handling all aspect of corporate secretarial services for public listed company and its subsidiaries which included but not limited to ensure proper maintenance of statutory records, due submission of statutory returns and compliance of statutory requirements under the Companies Act, 2016, Preparation of circular resolutions, minutes of Board, Committee and General meetings, Preparation of statutory forms, returns and notifications in accordance with the requirements of the Companies Act, 2016, Main Market Listing Requirements, Securities Commission Act, Stamp Act 1949 and other relevant authorities;
  2. Keep abreast with the latest development and amendments of the Companies Act, 2016, the Main Board Listing Requirements, Securities Commission Act, Corporate Governance and other relevant rules and regulations and to advise the Board, Committees and the management on compliance of the same;
  3. Advise the Board, Committee and the Management on corporate secretarial matters in decision making processes and to disseminate decision made thereof to appropriate parties as directed;
  4. Coordinating Board meetings, Annual General Meetings, Extraordinary General Meetings, and relevant meetings;
  5. Preparation of pre and post meetings of the Board of Directors, Board Committees including preparation of board papers, minutes, resolutions and annual returns;
  6. Timely release of announcements to Bursa Malaysia in relation to related party transactions, financial assistance, CP/MTN Programmes, incorporation of subsidiary, share buy-back and etc;

SECRETARY & ADMINISTRATIVE SUPPORT

  1. Provide secretarial, administrative support to the Managing Director, Directors;
  2. Prepare confidential and official correspondences internally and externally, project report, legal documents, memorandum, agenda, minutes of meeting, presentation material, business presentation and other related documents;
  3. Undertakes project work or ad hoc job-related matters or any other duties as and when assigned/requested by the Management from time to time.

Requirements

  • Candidate must possess at least a PSC, ICSA, Diploma or Degree in Private Secretary or equivalent;
  • Well versed in Malaysia Company Act 2016, and other related laws and regulations;
  • Candidate who have working experience in a public listed company or as a Corporate Secretary or Personal Assistant to Managing Director is encourage to apply;
  • Strong command of English and Mandarin both written & spoken;
  • Willing to travel when required;
  • Willing to work in Yong Peng.
